1. General Conditions
1.1. The following Terms and Conditions shall apply for the participation in a competition hosted by Allmightys.com to any person or company (hereinafter called the "Designer“), who submit a graphic illustration or any other form of design (hereinafter called „Design“). These Terms and Conditions are valid at the time of participation. Any modifications of these Terms & Conditions have to be approved expressly and in writing. Any other agreement- in particular as far as they modify these Terms & Conditions- need the written approval by Allmightys.com to become binding.
1.2 The Designer accepts these Terms & Conditions by submitting the Design to Allmightys.com, particularly by uploading the Design to the website of Allmightys.com.
1.3 If one of the stipulations of these Conditions is or becomes void, all others remain valid. The stipulation that is or has become void shall be replaced by one closest in content that is effective in law.
1.4 Allmightys.com shall retain title to and copyright of any content of the website, drawings and any other documents and information which are protected by intellectual property law and copyright law.
1.5 The Designer shall only have a right of retention and be entitled to set of counterclaims to the extent that such counterclaims are undisputed or have been validly decided. Allmightys.com shall be entitled to settle by setting of any and all claims Allmightys.com may have against the Designer or the Designer against Allmightys.com.
2. Participation in a Competition
2.1 The Designer submits a Design to the Allmightys.com website, normally by electronic means. The Designer hereby agrees that Allmightys.com may publish this Design on the website of Allmightys.com and that Allmightys.com may use this Design for advertising, promotional and publishing purposes. Allmightys.com may also use this Design for the production of goods, namely printing the Design on T-Shirts.
2.2 Allmightys.com is not obliged to accept the Design or use it in any way. A Design accepted by Allmightys.com becomes part of the voting system used by Allmightys.com. Allmightys.com reserves the right to modify any Design at any time and without notification. This right to modify relates in particular to changes in colour or the size of the design or individual elements of the Design.
2.3 The Designer is obliged not to submit the Design to any third party who provides a similar service to Allmightys.com. Clause 5 of these Conditions shall apply.
2.4 Allmightys.com reserves the right to withdraw and/ or delete any Design at any given moment without reason or notifying the Designer. This is applicable especially for Designs that Allmightys.com consider improper, for instance pornographic, racist or discriminating content.
3. Preconditions for Participation in a Competition
3.1 Preconditions for any participation by the Designer in a competition hosted by Allmightys.com is that the Designer is at least 18 years of age, that the Design is the Designer’s own exclusive intellectual property and that the Designer has the exclusive copyright and the exclusive right of use of the Design without any limitations.
3.2 The Designer declares and guarantees that the Designer does not infringe any trademarks, copyrights, or any other intellectual property rights by third parties (hereinafter called „Copyrights“) by submitting the Design.
3.3 In case of a alleged Copyright infringement, the Designer holds harmless and indemnifies Allmightys.com for any claims, debts and obligations towards third parties and compensates Allmightys.com any damages and actual expenditures.
4. Procedure of a Competition
4.1 A competition is finished at a specified date and time set by Allmightys.com. After this time, Allmightys.com shall declare three Designs that win the competition. These winning Designs are in the categories „Gold“, „Silver“,„Bronze“ and „Special Selection“.
4.2 The winning design will be decided by the judges selected by Allmightys.com in its sole discretion. The criteria for a winning design will be a combination of factors including (but not limited to) the average score of each design, the rating of votes cast for each design and the comments made for each design. Highest scoring designs do not automatically qualify for prizes. The Designer has no legal title to win a competition and shall therefore never make any legal claims against Allmightys.com.
4.3 At the end of a competition, Allmightys.com shall notify the Designers of the three or more winning Designs via the email address that the Designer has provided.
5. Right of Use
5.1 By submitting the Design, the Designer grants Allmightys.com the perpetual, worldwide and unlimited right to publish the Design on the website of Allmightys.com or in any other way (e.g. in advertising material). At the same time, the Designer grants Allmightys.com the perpetual, worldwide and unlimited right to use the Design exclusively and without any limitations for the purpose of printing on textiles of every kind, in particular for the purpose of printing on T-shirts. This right of use shall also include the right to sublicence the forgoing rights to third parties with or without the obligation to pay royalties. Clause 2 of these Conditions shall apply.
5.2 The Designer retains the right to use the Design free and without limitations or to grant third parties the right of use as long as such use has no connection with printing on textiles. This right of use for the purpose of printing on textiles shall remain exclusively and without limitations with Allmightys.com.
5.3 Allmightys.com seeks to promote all Designers that take part in competitions or otherwise present themselves on the Allmightys.com website.
Should any commercial opportunity other than the selling of T-Shirts arise through a publishing of the Design by Allmightys.com, any profits are divided between the Designer and Allmightys.com at a share of 50% each. The Designer already assigns the title for payment to Allmightys.com which the Designer has aginst third parties because of the commercial use of the Design to the limit of 50% of such title for payment. Allmightys.com accepts this assignment.
6. Participation in Profit
6.1 Once Allmightys.com prints any of the winning Designs on textiles and sells these textiles via the online shop, the Designer of the winning Design participates in the profits generated through the sale of this Design.
6.2 The participation in profit that is paid to the Designer is based on the category of the winning design:
- The Designer of the „Gold“ winning Design receives € 2 per T-Shirt sold.
- The Designer of the „Silver“ winning Design receives € 1.5 per T-Shirt sold.
- The Designer of the „Bronze“ winning Design receives € 1.0 per T-Shirt sold.
- The Designer of the „Special Selection“ Design receives € 1.0 per T-Shirt sold.
6.3 The forgoing participation in profit will be paid every quarter (3 months) into a bank account specified by the Designer. Charges for transactions by the bank, if any, shall be deducted from this amount.
7. Claims for Damages
Allmightys.com is liable without any limitations for personal damages which Allmightys.com is responsible for. Any other claims for damages against Allmightys.com, in particular in case of tangible damages or indirect damages, consequential damages or any other financial or pecuniary damages or losses, are explicitly excluded.
8. Place of Performance, Choice of Forum, Applicable Law
8.1 Place of performance for the mutual rights and obligations is Berlin.
8.2 The forum for all disputes, as well for bill of exchange and cheque proceedings is Berlin. This shall also apply if the place of residence or the place of usual domicile of the Designer is not within the boundaries of the Federal Republic of Germany at the time of filing the law suit. Allmightys.com may, however, also select to file a law suit at the place of domicile of the Designer.
8.3 The legal relationship between the Designer and Allmightys.com shall be governed only by the laws regulating legal relationships between domestic parties in the Federal Republic of Germany. If the Designer is not a German citizen or if the usual domicile or place of residence of the Designer is not the Federal Republic of Germany, the Swiss Law shall apply exclusively. The application of the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) shall be excluded.
1. Allgemeine Vorschriften
1.1 Für alle Geschäftsbeziehungen zwischen Allmightys.com und einer Person oder einem Unternehmen (nachfolgend einheitlich „Designer“ genannt), welche einen Entwurf, ein Design oder eine sonstige Darstellung (nachfolgend einheitlich „Entwurf“ genannt) Allmightys.com zur Verfügung stellt, gelten diese Bedingungen für die Teilnahme am Wettbewerb in ihrer zum Zeitpunkt der Teilnahme gültigen Fassung. Jegliche Abweichung von diesen Bedingungen muss von Allmightys.com ausdrücklich schriftlich bestätigt werden. Andere Vereinbarungen, insbesondere soweit sie diese Bedingungen abändern, werden erst durch schriftliche Bestätigung von Allmightys.com verbindlich.
1.2 Mit der zur Verfügungsstellung eines Entwurfs, insbesondere mit dem Einstellen (Hochladen/Upload) eines Entwurfs bei Allmightys.com, erkennt der Designer diese Bedingungen an.
1.3 Sollte eine Bestimmung dieser Bedingungen nichtig sein oder werden, so bleibt die Gültigkeit der übrigen Bestimmungen hiervon unberührt. Die unwirksame oder nichtige Regelung wird durch eine solche Regelung ersetzt, die inhaltlich der unwirksamen oder nichtigen Regelung am nächsten kommt, jedoch wirksam ist.
1.4 An allen Entwürfen, Zeichnungen und sonstigen durch Eigentums- oder Urheberrecht geschützten Sachen oder Materialien von Allmightys.com behält sich Allmightys.com alle Rechte vor.
1.5 Ein Zurückbehaltungsrecht und eine Aufrechnungsbefugnis stehen dem Designer nur insoweit zu, als die Gegenansprüche unbestritten oder rechtskräftig festgestellt sind. Allmightys.com darf mit sämtlichen Forderungen, die Allmightys.com gegen den Designer zustehen, gegen sämtliche Forderungen aufrechnen, die der Designer gegen Allmightys.com hat.
2. Beteiligung am Wettbewerb
2.1 Der Designer stellt, im Regelfall auf elektronischem Wege, Allmightys.com einen Entwurf zur Verfügung. Damit erklärt sich der Designer zugleich einverstanden damit, dass Allmightys.com den Entwurf auf der Allmightys.com Website veröffentlichen und insbesondere für Werbezwecke und zur Herstellung von Waren, z.B. dem Bedrucken des Entwurfs auf Shirts, benutzt kann.
2.2 Allmightys.com ist nicht verpflichtet, einen Entwurf zu akzeptieren oder Ihn in sonstiger Form zu benutzen. Ein akzeptierter Entwurf wird Bestandteil des von Allmighty.com verwendeten Votingsystems. Allmightys.com behält sich das Recht vor, jederzeit und ohne Mitteilung an den Designer grafische Änderungen an dem Entwurf vorzunehmen; dieses Recht zur Änderung bezieht sich insbesondere auf Änderungen in der Farbwiedergabe und der Größe des Entwurfs oder einzelner Elemente des Entwurfs.
2.3 Der Designer ist dazu verpflichtet, es zu unterlassen, den Entwurf Dritten zur Verfügung zu stellen, die einen vergleichbaren Service wie Allmightys.com anbieten. Im Übrigen gilt Ziffer 5 dieser Bedingungen.
2.4 Allmightys.com behält sich vor, einen Entwurf jederzeit, ohne Ankündigung und ohne Mitteilung an den Designer von der Website zu entfernen. Dies gilt insbesondere für solche Entwürfe, die Allmightys.com als anstößig empfindet, wie etwa pornografische, rassistisches oder diskriminierende Entwürfe.
3. Voraussetzung für eine Beteiligung am Wettbewerb
3.1 Voraussetzung für eine Beteiligung am Wettbewerb ist es, dass der Designer das 18. Lebensjahr vollendet hat, dass es sich bei dem Entwurf des Designers allein um sein eigenes geistiges Eigentum handelt, dem Designer die alleinigen Urheberrechte und die alleinigen und unbeschränkten Nutzungsrechte an dem Entwurf zustehen.
3.2 Der Designer erklärt und garantiert, dass er durch die zur Verfügungsstellung des Entwurfs Schutzrechte, Urheberrechte oder Copyrights Dritter jedweder Art (im folgenden „Schutzrechte“) nicht verletzt.
3.3 Im Falle einer behaupteten Schutzrechtsverletzung stellt der Designer Allmightys.com von sämtlichen Ansprüchen, Forderungen und Rechten Dritter frei und ersetzt Allmightys.com den entstandenen Schaden und die getätigten Aufwendungen.
4. Verlauf des Wettbewerbs
4.1 Ein Wettbewerb endet zu einem von Allmightys.com festgesetzten Termin. Danach wird Allmightys.com drei Entwürfe verkünden, die den Wettbewerb gewinnen. Diese drei Entwürfe gewinnen den Wettbewerb in einen der drei Gewinnkategorien, nämlich entweder Gewinnkategorie “Gold”, “Silber”, “Bronze” oder “Special Selection”.
4.2 Die Gewinnerentwürfe werden von Entscheidungsträgern ausgesucht, die ausschließlich von Allmightys.com benannt werden. Die Kriterien, die einen Gewinnerentwurf bestimmen, bestehen aus einer Mischung aus dem Durchschnittswert des Abstimmungsverfahrens, der Tendenz der vergebenen Punkte und der Bemerkungen, die für ein Design abgegen wurden.
Entwürfe mit den höchsten Abstimmungswerten gehören nicht automatisch zu den Gewinnerentwürfen eines Wettbewerbs. Der Designer hat daher keinen Rechtsanspruch darauf, dass sein Entwurf einen der Gewinnplätze einnimmt.
4.3 Nach Ende eines Wettbewerbs benachrichtigt Allmightys.com die Designer derjenigen Entwürfe, die den Wettbewerb gewonnen haben unter der von dem Designer jeweils angegebenen E-Mailadresse.
5. Übertragung der Nutzungsreche am Entwurf
5.1 Mit der zur Verfügungsstellung des Entwurfs an Allmightys.com übertragt der Designer Allmightys.com das zeitlich und örtlich unbegrenzte Recht, den Entwurf auf der Website von Allmightys.com oder in anderer Weise (z.B. in Werbematerialien) zu veröffentlichen. Zugleich überträgt der Designer Allmightys.com das zeitlich und örtlich unbegrenzte Recht, den Entwurf exklusiv zum Zweck von Druck auf Textilien jeder Art, insbesondere zum Zweck von Druck auf Shirts, frei, allein, umfassend und ohne Beschränkungen zu nutzen. Dieses Nutzungsrecht umfasst auch das Recht von Allmightys.com, Nutzungsanrechte an Dritte entgeltlich oder unentgeltlich weiter vergeben zu dürfen (Recht zur freien Unterlizenzierung). Im Übrigen gilt Ziffer 2 dieser Bedingungen.
5.2 Der Designer hat das Recht, den Entwurf selbst frei zu nutzen oder einem Dritten Nutzungsrechte zu übertragen, soweit diese Nutzung keinen Zusammenhang mit einem Druck auf Textilien aufweist; das Recht zur Nutzung des Entwurfs im Bereich Textildruck steht vollumfänglich und exklusiv Allmightys.com zu.
5.3 Allmightys.com fördert nach eigenem Ermessen diejenigen Designer, die an einem Wettbewerb von Allmightys.com teilnehmen oder sich auf der Website von Allmightys.com präsentieren.
Sollte durch die Veröffentlichung des Entwurfs durch Allmightys.com eine sonstige kommerzielle Nutzung des Entwurfs zustande kommen, so werden dadurch dem Designer zufließende Gewinne zur Hälfte zwischen Designer und Allmightys.com aufgeteilt. Der Designer tritt bereits jetzt einen zukünftigen Zahlungsanspruch, der dem Designer gegen einen Dritten aufgrund einer solchen zukünftigen kommerziellen Nutzung des Entwurfs zusteht, an Allmightys.com in Höhe der Hälfte des Zahlungsanspruchs ab. Allmightys.com nimmt diese Abtretung an.
6. Gewinnbeteiligung
6.1 Wenn Allmightys.com einen Entwurf auf Textilien druckt oder drucken lässt und diese bedruckten Textilien an Dritte verkauft, so hat der Designer einen Anspruch gegen Allmightys.com auf Gewinnbeteiligung, wenn es sich bei dem Entwurf um einen solchen handelt, der einen Wettbewerb gewonnen hat.
6.2 Die Höhe der Gewinnbeteiligung richtet sich nach der Gewinnkategorie des Entwurfs. Sie beträgt:
- von jedem verkauften Shirt auf Platz “Gold” Euro 2,00;
- von jedem verkauften Shirt auf Platz “Silber” Euro 1,50;
- von jedem verkauften Shirt auf Platz “Bronze” Euro 1,00.
- von jedem verkauften Shirt auf Platz “Special Selection” Euro 1,00.
6.3 Die Gewinnbeteiligung wird vierteljährlich auf das vom Designer benannte Konto überwiesen, wobei Allmightys.com keine möglicherweise anfallenden Kosten der Überweisung übernimmt.
7. Schadenersatzansprüche
Allmightys.com haftet für einen von Allmightys.com zu vertretenden Personenschaden unbeschränkt. Alle anderen Schadensersatzansprüche gegen Allmightys.com, insbesondere bei Sachschäden oder indirekten Schäden, Folgeschäden oder sonstigen Vermögensschäden, sind ausdrücklich ausgeschlossen.
8. Erfüllungsort, Gerichtsstand, anwendbares Recht
8.1 Erfüllungsort für die gegenseitigen Rechte und Pflichten ist Berlin.
8.2 Gerichtsstand für alle Rechtsstreitigkeiten, auch für Wechsel- und Scheckprozesse, ist Berlin. Dies gilt auch, falls Wohnsitz oder gewöhnlicher Aufenthalt des Designers im Zeitpunkt der Klageerhebung nicht in der Bundesrepublik Deutschland ist. Allmightys.com kann den Designer jedoch auch bei den Gerichten seines allgemeinen Gerichtsstandes verklagen.
8.3 Für alle Rechtsbeziehungen zwischen dem Designer und Allmightys.com gilt ausschließlich das für die Rechtsbeziehungen inländischer Parteien maßgebliche Recht der Bundesrepublik Deutschland. Ist der Designer kein deutscher Staatsbürger oder befindet sich der regelmäßige Aufenthaltsort oder Wohnort des Designers im Ausland, so findet allein Schweizer Recht Anwendung. Die Geltung des UN-Kaufrechts ist ausgeschlossen.
